By signing up for or using the various JuneBug Review information, services and products, including without limitation the JuneBug Review Site, purchasing movie tickets, or other products or services offered by JuneBug Review Site (collectively, the "Service") you ("you" or "your") agree that you have read, understand and agree to be legally bound by the terms and conditions set forth or referenced below ("Terms of Use"). If you do not agree to any of these Terms of Use, please do not use or access the Site. Your use of this Site and the information, services and products available through the Site are subject to the following Terms of Use, which may be updated by us from time to time without notice to you. You agree to (A) provide true, accurate, current and complete data about yourself on the JuneBug Review member registration form ("Membership Data") and (B) promptly update the Membership Data to keep it true, accurate, current and complete. If you fail to do any of these things, JuneBug Review will have the right to suspend or terminate your use of the Site and/or terminate your account. You are solely responsible for maintaining the confidentiality of your password and account, and you are solely responsible for all use of your password or account, whether authorized by you or not. You agree to immediately notify JuneBug Review of any unauthorized use of your password or account or any other breach of security.

    • violates any applicable law, these Terms of Use or any policy posted on JuneBug Review.com or interferes with the use of JuneBug Review.com by others.

    You agree that you will not collect information about third parties via the Site or use any such information for the purpose of transmitting or facilitating transmission of chain letters, unauthorized or unsolicited advertising, junk or bulk e-mail, or any other form of unauthorized solicitation. You may not attempt to gain unauthorized access to any services, user accounts, computer systems or networks through hacking, password mining or by any other means. You may use the content offered on the Site for downloading, such as photos, videos and music, for personal use only and subject to the rules that accompany that particular content.   6. No Duty to Monitor

    7. You agree that we are not liable for Content that is provided by others. We have no duty to pre-screen Content, but we have the right to refuse to post or to edit submitted Content. We reserve the right to remove Content for any reason, but we are not responsible for any failure or delay in removing such material.

  7. Notice to Minors

    8. You affirm that you are over the age of 13. If you are under the 13 years of age, you may not use or access the Site. Notwithstanding the foregoing, JuneBug Review does not ensure that any such content will be edited or removed from the Site. JuneBug Review may disable and/or terminate the accounts of users of the Site who infringe or repeatedly infringe copyrights or other intellectual property rights of others. JUNEBUG REVIEW, ITS AFFILIATES, AGENTS AND LICENSORS DISCLAIM ALL WARRANTIES AND CONDITIONS, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. WITHOUT LIMITING THE FOREGOING, JUNEBUG REVIEW DOES NOT WARRANT THAT THE SERVICE WILL (1) BE UNINTERRUPTED; (2) BE FREE FROM INACCURACIES, ERRORS, VIRUSES OR OTHER HARMFUL COMPONENTS; (3) MEET YOUR REQUIREMENTS; OR (4) OPERATE IN THE CONFIGURATION OR WITH THE HARDWARE OR SOFTWARE YOU USE. YOUR USE OF THE SERVICE IS SOLELY AT YOUR RISK.

  11. EXCLUSION OF DAMAGES

JUNEBUG REVIEW, AND ITS SUBSIDIARIES AND LICENSORS WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES RELATING TO LOST PROFITS, LOST DATA OR LOSS OF GOODWILL) OR ANY DAMAGES WHATSOEVER THAT RESULT FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF JUNEBUG REVIEW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. UNDER NO CIRCUMSTANCES SHALL JUNEBUG REVIEW AND ITS PARENT BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH THE SITE OR THESE TERMS OF USE. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW FOR THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, JUNEBUG REVIEW AND ITS PARENT LIABILITY IN SUCH STATE OR JURISDICTIONS SHALL BE LIMITED TO THE EXTENT PERMITTED BY THE LAW OF SUCH STATE OR JURISDICTION. IN ADDITION, BECAUSE SOME JURISDICTIONS DO NOT PERMIT THE DISCLAIMER OF CERTAIN WARRANTIES, THE DISCLAIMERS SET FORTH IN SECTION 8 MAY NOT APPLY TO YOU.

  13. THIRD-PARTY SITES

    14. THE THIRD-PARTY WEB SITES LINKED TO OR FROM THE SERVICE ARE NOT CONTROLLED BY JUNEBUG REVIEW. ACCORDINGLY, JUNEBUG REVIEW MAKES NO WARRANTIES OR CONDITIONS REGARDING SUCH THIRD-PARTY WEB SITES AND WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY YOUR USE OF OR RELIANCE ON SUCH WEB SITES. YOUR USE OF THIRD-PARTY WEB SITES IS AT YOUR OWN RISK. THE INCLUSION ON THE SERVICE OF A LINK TO A THIRD-PARTY WEB SITE DOES NOT IMPLY AN ENDORSEMENT BY JUNEBUG REVIEW.

  14. Indemnification

At JuneBug Review request, you will defend, indemnify and hold harmless JuneBug Review , our Parent and its agents, representatives, affiliates, directors, officers, employees, and contractors (the “Parties”) from all liabilities, claims, damages, losses and expenses, including (without limitation) attorney’s fees, incurred in connection with any third-party claim, demand, proceeding or action ("Claim") brought against any of the Parties arising out of your use of the Site or any alleged breach by you of any provision of these Terms of Use. If you are obligated to indemnify JuneBug Review, JuneBug Review may, in its sole and absolute discretion, manage the defense and disposition (including its possible settlement) of any Claim at your sole cost and expense. Without limitation of the foregoing, you will not settle, compromise or in any other manner dispose of any Claim without the written consent of JuneBug Review.

  15. Termination

    16. In its sole and absolute discretion, with or without notice to you, JuneBug Review may (1) suspend or terminate your use of the Site, or (2) terminate your account if you violate these Terms of Use or any rules or guidelines posted in JuneBug Review Privacy Policy. You may terminate your account for any reason by emailing JuneBug Review at info@junebugreview.com. JuneBug Review shall not be liable to you or any third party for any claims or damages arising out of any termination or suspension of the Service.

  16. General Information

These Terms of Use and the relationship between you and JuneBug Review shall be governed by the laws of the United States and the State of Florida without regard to its conflict of law provisions. Any action or proceeding arising from, relating to or in connection with these Terms of Use will be brought exclusively in the federal or state courts located within Volusia County of the State of Florida, and you irrevocably consent to the personal jurisdiction of such courts and agree that it is a convenient forum and that you will not seek to transfer such action or proceeding to any other forum or jurisdiction, under the doctrine of forum non conveniens or otherwise. No failure or delay by JuneBug Review in exercising any right, power or privilege under these Terms of Use will operate as a waiver thereof, nor will any single or partial exercise of any right, power or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege under these Terms of Use. The invalidity or unenforceability of any provision of these Terms of Use will not affect the validity or enforceability of any other provision, all of which will remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of, related to or connected with the use of the Service or these Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in these Terms of Use are for convenience only and have no legal or contractual effect. These Terms of Use represent the entire understanding of the parties regarding its subject matter, and supersede all prior and contemporaneous agreements and understandings between the parties regarding its subject matter. These terms and conditions are binding upon and shall ensure to the benefit of both parties and their respective successors, heirs, executor, administrators, personal representatives and permitted assigns. You shall not assign your rights or obligations hereunder without JuneBug Review's prior written consent.
